Terms of Service

Agreement

These terms are a contract between you and WebMax Labs LLC, an Arizona limited liability company ("WebMax Labs," "we," "us"). They cover webmaxlabs.com, our subdomains, and the applications we operate ("Services"). Using the Services means you accept these terms. If you are agreeing on behalf of a company, you are confirming that you have the authority to bind it.

Accounts

Some Services require an account, which you may create by signing in with Google. Keep your credentials secure, give us accurate information, and tell us promptly if you think your account has been compromised. You are responsible for activity under your account. We may suspend or close an account that violates these terms or that appears to be a security risk.

Acceptable use

Do not use the Services to break the law, infringe anyone's rights, or harm others. Specifically, do not:

  • Reverse engineer, scrape, or attempt to gain unauthorized access to the Services or the systems behind them
  • Upload malware, or interfere with the Services' operation or security
  • Send unlawful bulk messaging, or use our telephony and messaging features in violation of the TCPA, CAN-SPAM, or carrier rules
  • Resell or sublicense the Services without our written agreement
  • Use the Services to build a competing product

Client work

Custom development, automation, and consulting are governed by a separate written proposal, statement of work, or service agreement. Where that document conflicts with these terms, it controls for that engagement. Fees, deposits, milestones, and scope live in that document, not here. Deposits are earned when work begins and are non-refundable unless the engagement letter says otherwise.

Intellectual property

We own the Services, our site, our software, and our brand, including the WebMax Labs name and logo. Nothing here transfers those to you. Content you submit stays yours, and you grant us a license to host, process, and display it as needed to provide the Services. Ownership of deliverables from a client engagement is set in that engagement's agreement, and typically transfers to the client on final payment.

Third-party services

The Services integrate with third parties, including Google, Stripe, Twilio, and AI model providers. Your use of those is subject to their terms, and we are not responsible for what they do or fail to do. Links to other sites are not endorsements.

AI-generated output

Parts of the Services use AI models. Output can be wrong, incomplete, or unsuitable for your situation, and it is not legal, financial, medical, or professional advice. Review it before you rely on it or put it in front of your customers. You are responsible for what you publish or act on.

Disclaimers

The Services are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.

Limitation of liability

To the fullest extent the law allows, WebMax Labs is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if we were warned they were possible. Our total liability for any claim arising out of the Services is capped at the greater of the amount you paid us in the twelve months before the claim, or one hundred dollars.

Indemnity

You will defend and indemnify WebMax Labs against claims, damages, and costs (including reasonable attorneys' fees) arising from your use of the Services, your content, or your breach of these terms.

Termination

You can stop using the Services at any time. We can suspend or terminate access if you breach these terms, if we are required to by law, or if we discontinue a Service. The sections on intellectual property, disclaimers, limitation of liability, indemnity, and governing law survive termination.

Governing law

Arizona law governs these terms, without regard to conflict-of-laws rules. Disputes will be brought in the state or federal courts in Maricopa County, Arizona, and you and we consent to jurisdiction there.

Changes

We may update these terms. The date at the top of this page shows when. Continuing to use the Services after a change means you accept the new terms.
